These Terms of Service (the “Terms”) form an agreement between you and [[COMPANY_LEGAL_NAME]] (“we,” “us,” or “our”) and govern your access to and use of the AI WorkForce OS desktop application and the optional managed model-usage gateway and related online services (collectively, the “Service”). Please read them carefully.

1. Acceptance of terms

By creating an account, downloading or installing the app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. The Service

The Service has two distinct parts:

The desktop application. The AI WorkForce OS desktop app is free and open-source software released under the MIT license. It runs locally on your machine and works with the model provider keys you supply (bring-your-own-key). Your use of the source code is governed by the MIT license that accompanies it; nothing in these Terms limits the rights that license grants you.
The managed gateway (optional). We separately offer a paid, metered, OpenAI-compatible gateway that provides included model usage through managed credits. Using the gateway requires an account and a paid plan, and is subject to these Terms.

You are never required to use the managed gateway to use the desktop app — you may always bring your own provider keys instead.

3. Accounts and security

To use the managed gateway you must create an account with accurate information and keep it up to date. You are responsible for safeguarding your password and any gateway access tokens you generate, and for all activity that occurs under your account. Keep your tokens secret — anyone holding a token can consume your credits. Notify us promptly at [[CONTACT_EMAIL]] if you suspect unauthorized use. You must be old enough to form a binding contract in your jurisdiction to use the Service.

4. Acceptable use

You agree not to use the Service to:

break the law, or infringe the rights of others;
violate the usage policies of the upstream model providers your requests are routed to;
attempt to gain unauthorized access to the Service, other accounts, or our systems, or to disrupt or degrade them;
circumvent metering, rate limits, or credit accounting, or resell gateway access except as expressly permitted;
generate or distribute content that is unlawful, harmful, or abusive, or that you are not authorized to process.

We may suspend or limit access to protect the Service or comply with the law.

5. Subscriptions, billing, and Stripe

Paid plans are billed in advance on a recurring basis (monthly or annually, as you select) until cancelled. Payments are processed by our payment processor, Stripe; we do not store your full card details. By subscribing you authorize recurring charges to your payment method. Prices may change, and we will give reasonable notice of changes before they take effect on your next billing cycle. You can manage, change, or cancel your subscription at any time from the billing portal in your account; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.

6. Credits

Paid plans grant a monthly allowance of credits that fund model usage through the managed gateway. Credits:

are granted at the start of each billing period;
are consumed as you make gateway requests, based on the model used and the number of tokens processed;
have no cash value and are not redeemable for cash;
are not transferable; and unused credits expire at the end of the billing period and do not roll over.

If you exhaust your credits before the period ends, you can upgrade your plan or continue using the desktop app with your own provider keys.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Model outputs are generated by third-party AI systems and may be inaccurate, incomplete, or unsuitable for your purposes; you are responsible for reviewing outputs before relying on them. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by law, [[COMPANY_LEGAL_NAME]] and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the managed gateway ends and any remaining credits are forfeited; sections that by their nature should survive termination will survive. The MIT license for the desktop app continues to apply to copies you already hold.

10. Changes to these terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of [[GOVERNING_LAW]], without regard to its conflict-of-laws rules. The courts located in [[GOVERNING_LAW]] will have jurisdiction over any dispute that is not subject to a separate agreement to arbitrate or otherwise resolve disputes.
